Terms of Service โ€” Working Draft

Working draft โ€” attorney review needed before live use.

Working draft โ€” not legal advice. Attorney review needed before these terms are used live.
Do not treat this page as final legal terms. It must be reviewed by an attorney before launch.

Who we are (to be completed)

Legal name: [LEGAL NAME OF BUSINESS]
Business address: [BUSINESS ADDRESS]
Contact email: [CONTACT EMAIL]
Governing law: the laws of the State of [GOVERNING-LAW STATE]

Order Owl: These bracketed details are not filled in yet. Legal name, address, contact email and governing-law state must be completed and checked by an attorney before these terms go live.

1. Prices subject to change

Prices are subject to change at any time. OrderOwl may change subscription prices, feature prices, and billing terms at any time. Current prices are shown on the Pricing page. Changes will be shown there when they take effect.

Order Owl: Prices can change at any time. Check the Pricing page for the current price before you buy. No price is promised forever.

2. Free trial

The 14-day free trial is the Everything plan ($199/mo value), free, with a card required at signup and no money is charged when you start the trial โ€” we only check that your card is active. It requires a company name and a company/business email address, not an EIN. One trial per company email. No one can get the free trial twice, except where Ant gives the okay or a valid promo code applies. On day 14 OrderOwl will email you to pick your paid plan. If you do not pick a plan, your card will be charged the full amount of the plan you chose at signup. See the Free trial page for full trial rules.

Order Owl: Trial rules are firm: Everything for fourteen days, free, a card is required at signup, company name and company email only, no EIN, one per company email. Exceptions need Ant's okay or a promo code. No exceptions beyond that.

3. Cancellation of service โ€” including no-refund rule

OrderOwl cares deeply about its customers and helping their business grow, and will work with customers as much as possible to make sure all the facts are in line before terminating service for a rule issue.

OrderOwl may cancel a customer's service at any time, for any reason, including simply not wanting them in its services, with no refunds except where the law requires one.

Breaking OrderOwl's rules โ€” no refunds: If a customer breaks OrderOwl's rules, their service may be cancelled at any time, with no refunds except where the law requires one.

Fraudulent work โ€” immediate termination, no refund: Any company that does fraudulent work, or anything like that, will be terminated immediately, with no refund except where the law requires one.

Working with customers before termination (non-fraud rule issues): Before terminating for a non-fraud rule issue, OrderOwl will work with the customer as much as possible to make sure all the facts are in line. If OrderOwl gets no reply from the customer within thirty days to ninety days, the customer will be terminated, with no refund except where the law requires one.

In plain terms: OrderOwl does not have to give a reason to cancel service, and cancelled customers do not receive a refund unless the law in the governing-law state [GOVERNING-LAW STATE] requires a refund in that case. Fraud is terminated immediately. For other rule issues, OrderOwl will try to work it out and check the facts first, and no reply within thirty to ninety days can lead to termination.

Order Owl: This is a serious term, so read it plainly: OrderOwl may cancel service at any time, for any reason, including simply not wanting a customer in its services, with no refunds except where the law requires one. Breaking the rules means no refund. Fraud means immediate termination, no refund. For other rule issues, OrderOwl will work with you and check the facts first, and if there is no reply within thirty to ninety days, service will be terminated. An attorney must review this clause before it is used.

4. Payments

Customers can pay by credit card, PayPal, and other platforms where checkout supports them. All payments land to Ant's PayPal. Never enter a card number in chat or in any form that does not belong to a secure checkout.

Card charged only once โ€” then the customer pays themselves: OrderOwl will charge a customer's card only once for a subscription payment. After that one charge, OrderOwl will not keep charging the card. If that payment does not go through, or the subscription is not paid, the customer must go in and pay it themselves, in their own dashboard.

30-day cutoff: If the subscription is not paid within 30 days, the customer's service is cut off. Customers get a 3-day advance warning before their subscription is due. Never charge a customer if they have already paid โ€” no double charging.

Resubscription after 30 days late โ€” $5 charge: If service was cut off after 30 days unpaid, the customer must resubscribe to get service back. Resubscribing after 30 days late costs a $5 resubscription charge, in addition to the subscription plan they choose. This $5 charge applies ONLY when resubscribing after 30 days late โ€” it does not apply to a normal renewal, or to paying manually within the 30 days.

Note: this one-charge-only rule, with manual payment after and a 30-day cutoff, replaces the earlier daily-retry rule. The earlier rule โ€” charging every day for 15 days, then cancelling โ€” no longer applies.

Checkout not connected yet โ€” PayPal setup pending Ant's approval
No real checkout is wired up on this launch site.
Order Owl: Payment goes to Ant's PayPal through proper checkout, once approved and connected. Until then, no payment is taken here. Never share card numbers in chat.

5. Employee access

Employee login and dashboard access is for work and paperwork only. It does not include money, bank, profit or payment access. See the Employees page.

Order Owl: Employees work, they do not touch money. Work and paperwork only โ€” no bank, no profits, no payments. That is the rule.

6. No liability for damage to your systems while running OrderOwl

To the fullest extent permitted by law, OrderOwl holds no liability for anything done to your systems while running OrderOwl โ€” including any damage, loss, change, or problem to your devices, systems, accounts, or data that happens while you are running or using OrderOwl. You run OrderOwl at your own risk for your own systems.

This clause must be reviewed by an attorney before live use, and it does not change any right the law requires OrderOwl to give you.

Order Owl: Running OrderOwl is at your own risk for your own systems. OrderOwl holds no liability for anything done to your systems while running it, to the fullest extent the law allows. An attorney must review this before it goes live.

7. Status of this draft

This is a working draft of terms concepts only. It is not legal advice, it is not a final contract, and it has not been reviewed by an attorney. Before OrderOwl launches with paying customers, an attorney must review and finalise these terms, complete all [bracketed] fill-ins โ€” [LEGAL NAME OF BUSINESS], [BUSINESS ADDRESS], [CONTACT EMAIL], and [GOVERNING-LAW STATE] โ€” and confirm the cancellation and no-refund clause complies with applicable law.
